Ok...

Are you running inetd from an account with the following privileges:

1) "Act as part of the operating system"
2) "Replace process level token"
3) "Increase quotas"
4) "Logon as a service"

or under user LocalSystem?

Thanks Jason, that was indeed cleverly hidden.  And it turns out account
is disabled was checked off.  I thought I had logged in as guest before,
so that was surprise.
Well, re-enabled the account, restarted inetd, and tried ftp again.  No
change.
