Are you mixing Cygwin and Win32 cvs?  I get the following:

    $ /usr/bin/cvs update
    /CVSROOTccess /usr/local/cvsroot
    No such file or directory

when I use Cygwin cvs in a directory checked out by Win32 cvs.
